JU Genesis Lab Customer Agreement

1. Warranty and Remake Policies (Young Dental Laboratory Policy Applied)

Removable Product Warranties

• 3 Years Warranty

◦ Cast Metal Partials (CrCo or Vitallium® Cast RPDs)

◦ Valplast®, TCS®, and Lucitone FRS® RPDs

◦ Valplast® Complete or Unilateral (Against breakage only; excludes wear-and-tear or discoloration)

• 6 Months Warranty

Implant Product Warranties

• Lifetime Warranty

◦ 100% lifetime warranty against breakage or fracture of implant abutments (custom abutments, ti-base, and lab-provided pre-fabricated abutments).

◦ Additional warranties may be sought from respective implant companies or abutment manufacturers.

• No Warranty

◦ Doctor-supplied abutments and/or parts

2. Payment Terms and Late Fees (JU Genesis Lab Policy Applied)

• Payment Terms: Net 15 (Full payment due within 15 days after the statement date).

• Late Fee: A 5% late fee will be charged monthly on any unpaid balances past the due date.

• Outstanding Balances: If an invoice remains unpaid for 90 days or more, all future orders will be placed on a Cash on Delivery (COD) basis until the balance is cleared.

• Returned Checks: A $50 fee will be applied for any returned checks due to insufficient funds.

3. Indemnification Clause (JU Genesis Lab Policy Applied)

The Customer agrees to indemnify, defend, and hold JU Genesis Lab and its principals, employees, officers, and agents harmless from any legal claims, liabilities, and damages arising from:

1. The treatment of any patient using prostheses or restorations provided by JU Genesis Lab.

2. The accuracy of specifications provided by the Customer.

3. Any modifications made by the Customer after receiving the product.

The Company shall not be liable for any indirect, incidental, or consequential damages, including but not limited to loss of profits, patient dissatisfaction, or additional dental costs. 4. Arbitration and Dispute Resolution (JU Genesis Lab Policy Applied)

• Any disputes between the Company and the Customer shall be resolved exclusively through binding arbitration in Orange County, California.

• The prevailing party shall be entitled to recover reasonable attorney’s fees, court costs, and arbitration expenses.

• Class action lawsuits are explicitly waived by both parties.

• Any claims must be filed within one (1) year from the date of the incident giving rise to the dispute.

5. Delivery Terms and Conditions (JU Genesis Lab + Young Dental Policy Combined)

Shipping Responsibility

• The Company shall determine the shipping method unless specified otherwise by the Customer.

• The Customer is responsible for all shipping and transport costs, including but not limited to insurance, handling fees, and duties.

• The Customer bears all risk of loss or damage once the shipment leaves JU Genesis Lab’s facility.

Local and Out-of-State Delivery Fees (From Young Dental Lab Policy)

• Local Pick-ups (within 50 miles) → Free

• Standard Shipping within the State → $9 per package

• Out-of-State Shipping → $15 per package

• Overnight and Expedited Shipping → Additional fees apply

Rush Service Fees (Custom Request by JU Genesis Lab)

• 5-Day Turnaround → $50 surcharge

• 4-Day Turnaround → $100 surcharge

Rush services apply only to eligible products and must be pre-approved by the Company.
